Corporate Finance Advisors usually originate from large financial services organisations. Frequently, initial deals are in place at the time of development but are unable to conclude as the required regulatory authorisations take six to eight months to obtain.

We provide a seamless and efficient extension to UK based origination and execution teams by providing the license to conduct regulatory activities.

Managed Accounts (CTAs and CPOs)

As Commodity Trading Advisors (CTAs) and Commodity Pool Operators (CPOs) resemble financial advisors, the relevant registrations with the appropriate regulators are required.

This dual registration process may require six to eight months to complete and often absorbs critical management time and resources.

UCIS Operator Services for Private Funds

Whilst property as an asset class remains unregulated, running a property fund is a regulated activity which requires certain functions to be fulfilled by an FCA regulated activity.

The typical Property Partnership structures, despite not being a conventional fund as defined within the Financial Services and Markets Act (2000), is considered as an Unregulated Collective Investment Scheme (UCIS) and under exempt, is considered to be an Alternative Investment Fund.

A regulated operator is required for UCIS investment vehicles and the establishment and operation of a UCIS can absorb significant resources and will likely delay the start of investment activity.

We become the structured operator of UK domiciled private funds and are able to offer full administration capabilities as manager of the Limited Partnership.

(S)EIS Fund Issuance

The Enterprise Investment Scheme (EIS) and Seed Enterprise Investment Scheme (SEIS) have been designed by the UK government to encourage private investments in small companies by providing a set of attractive tax benefits for investors. However, obtaining the necessary regulatory permissions for an EIS fund may take between six to 12 months and requires significant investment.

We will launch and operate a fully integrated EIS fund platform, providing full support from investment committee and compliance hosting to working with industry counterparties for legal structuring and administration and custody services.
